From 2006–2013, Ms. Chaiken served as Corporate Counsel to Adobe Systems in San Jose, CA where she advised Adobe on corporate governance, securities, transactional and employment issues. Ms. Chaiken negotiated intellectual property agreements, vendor contracts, purchase orders and license agreements. In addition, Ms. Chaiken was responsible for preparing SEC Form 8-K reports, registration statements and the company’s proxy statement. She was the lead in-house counsel for stock purchase and asset purchase transactions. Ms. Chaiken has extensive experience in preparing various employment, severance and proprietary rights agreements and negotiated Adobe’s vendor contracts, purchase orders and non-disclosure agreements.
From 2004–2006, Ms. Chaiken was Corporate Counsel for Gevity HR, Inc. in San Francisco, CA, where she was second-in-command of the legal department for this NASDAQ-listed company. Ms. Chaiken advised Gevity on all corporate issues including agreements with company clients, vendors and potential acquisition targets. Ms. Chaiken prepared Gevity’s SEC reports, proxy statements, annual reports to shareholders and press releases. In addition, she was principally responsible for negotiating public and private M&A transactions, including acquisitions and dispositions, joint ventures and strategic investments.
From 2001–2004 Ms. Chaiken served as corporate associate at Powell, Goldstein, LLP in Atlanta, Georgia, a 350 attorney full-service firm, now BryanCave, LLP. At Powell, Goldstein, Ms. Chaiken prepared offering memoranda, registration statements and related federal and state filings in connection with public and private securities transactions.
Ms. Chaiken advised clients on a broad range of corporate governance and SEC reporting and compliance issues, including Sarbanes-Oxley compliance and disclosure obligations, Section 16 reporting, insider trading and proxy solicitation rules. Ms. Chaiken drafted and negotiated agreements in connection with public and private M&A transactions, including acquisitions and dispositions, joint ventures and strategic investments.
